Mann J dismissed a winding up petition. The company had moved its centre of main interests to Luxembourg (where a trustee in bankruptcy had been appointed) despite the fact that its registered office was still in England and Wales. There was no establishment in England and Wales because the company did nothing at the registered office, so secondary proceedings could not be opened.
